MSK Announced as M&A Advisor Award Finalist for 2017
MSK is pleased to announce that The M&A Advisor, recognized as the world’s premier “think tank” and leadership organization for mergers & acquisitions, restructuring and financing professionals, has named MSK as a Finalist for its 16th Annual M&A Advisor Awards. MSK is recognized in the categories of Information Technology Deal of the Year ($10MM – $50MM), Corporate/Strategic Deal of the Year ($10MM - $25MM), and M&A Deal of the Year ($10MM - $25MM) for representing Helios and Matheson Analytics Inc. (Nasdaq: HMNY) in its merger with Zone Technologies, Inc. (RedZone). MSK is also recognized in the categories of Cross Border Deal of the Year ($50MM - $100MM) and Materials Deal of the Year for representing Ta Chen Stainless Pipe Co., Ltd. in its acquisition of Empire Resources, Inc. (Nasdaq: ERS). The winners will be announced at the 16th Annual M&A Advisor Awards Gala on November 13, 2017 in New York.
The merger of RedZone with Helios and Matheson Analytics enabled the expansion the RedZone Map™ crime app technology, which offers its users real-time crime data in a navigation map format. RedZone’s goal is to enhance the personal safety of its users. RedZone’s proprietary technology incorporates social listening, artificial intelligence and big data analytics.
In the Ta Chen transaction, MSK’s client conducted a public tender offer for the shares of Empire Resources using a recently amended Delaware law which, under certain circumstances, allows the consummation of a two-step merger without stockholder approval of the company being acquired. The statute requires that holders of only a majority of the target's shares tender. The MSK team was able to close the acquisition of the Nasdaq-listed target in 30 days, which was practically impossible for a publicly traded company prior to the change in Delaware law.
