• Represented a foreign mobile game development company in an international sale of a leading mobile video game to an interactive entertainment company and game developer/publisher.
• Represented a blockchain gaming company in connection with a license of its proprietary blockchain technology to a game developer/publisher.
• Represented Vicinity Motor Corp (TSXV:VMC) (Nasdaq:VEV) (FRA:6LGA), a North American supplier of electric vehicles for both public and commercial enterprise use, in connection with the uplisting of its common stock to the Nasdaq Capital Market and its $12 million registered direct offering of 4,444,445 common shares and warrants to purchase up to 4,444,445 common shares at a combined purchase price of $2.70 per unit.
• Represented ResearchDX, Inc., a pharmaceutical company, in the sale of a CLIA-certified, CAP-accredited clinical laboratory and related licenses and assets to Lucid Diagnostics Inc. (Nasdaq: LUCD), a commercial-stage medical diagnostics technology company.
• Represented FOXO Technologies Inc., a technology company applying epigenetic science and AI to modernize the life insurance industry, in their merger with special purpose acquisition company (SPAC) Delwinds Acquisition Corp. FOXO is now publicly traded on the NYSE under ticker symbol ‘FOXO.' 
• Represented Peraso, Inc., a world leader in the development of 5G mmWave silicon, in their Technology License and Patent Assignment Agreement with Intel Corporation. 
• Represented the Benchmark Company, the sole book-running manager for a $6.375 Million Initial Public Offering and Nasdaq listing with Heart Test Laboratories, Inc. (Nasdaq: HSCS; HSCSW), a medical technology company focused on applying innovative AI-based technology to an ECG (also known as an EKG) to expand and improve an ECG’s clinical usefulness.
